Areas of Practice

With extensive multi-sector M&A experience, we are here to support Buyers and Sellers in their ventures, as well as Founders in other forms of exits and collaboration strategies (e.g. management buyouts, restructuring, partial sales, joint ventures).

We are here with you from due diligence and risk assessment (using latest legal tech and AI for greater efficiency), preparing and negotiating sale documentation to signing and completing the transaction, as well as to guide you on post-completion actions. We also act as UK counsel in cross-border transactions.

Strategic and structuring advice

We help with preparing option agreements (HMRC approved and unapproved) to incentivise employees and advisors, ensuring long-term growth whilst protecting company interests.

We help companies with implementing structural changes to achieve efficient tax structures or for other strategic reasons through a range of corporate actions like asset and business transfers, intra-group arrangements and movement of subsidiaries.

We also provide general strategic and corporate law and governance advice, including implementing changes to cap tables, capital reductions and compliance with Companies House requirements.

Key company documents

As you start customising and scaling your company, we can support you with preparing, negotiating and managing your bespoke articles of associations and co-founder / shareholders’ agreements, ensuring key long-term protections are built in.

Fundraising

From family & friends, angel and pre-seed rounds to larger VC investments and series rounds, we’ve got you covered for all the documentation. We regularly act for founders and investors, giving us extensive cross-industry and BVCA experience.

Advance subscription (ASA) and SAFE agreements

Sales, Purchases and other Strategic Exits and Ventures

EMI and other Option Arrangements

For those in-between times when you need funding before a full round, we can help with drafting and negotiating ASAs or SAFE agreements, to suit the needs of your company, always staying fully compliant with HMRC requirements (for EIS / SEIS investments).
